These terms govern your use of the relayq.dev website and the RelayQ software product provided by Precocity Research Ltd (“we”, “us”, “our”).

By using our website or software, you agree to these terms.

1. Definitions

• “Website” — relayq.dev and all its pages
• “Software” — the RelayQ MQTT broker binary and associated files
• “Evaluation License” — a time-limited license for testing purposes
• “Commercial License” — a paid subscription for production use
• “Source Access Agreement” — a separate contract for source code access
• “You” — the individual or organization using our website or software

2. Website Use

You may use our website to:

• Read product information and documentation
• Request an evaluation license
• Access the customer portal (if you have an account)
• Contact us

You may not:

• Attempt to gain unauthorized access to any part of the website
• Use automated tools to scrape content at scale
• Misrepresent your identity or affiliation

3. Software License

3.1 License Grant

The RelayQ software is licensed under the Elastic License 2.0 (ELv2). The full license text is available at /legal/eula.

Under ELv2, you may:

• Use the software for any purpose (commercial or personal)
• Deploy the software on your own infrastructure

Under ELv2, you may NOT:

• Provide the software as a managed or hosted service to third parties
• Remove or obscure license or copyright notices

3.2 Evaluation License

• Duration: 60 days from issuance
• Scope: Testing and evaluation only
• Instances: As specified in the license file
• Expiry: Software ceases to function after evaluation period
• Extension: Contact us before expiry to request extension
• No warranty during evaluation

3.3 Commercial License

• Duration: As specified in your subscription agreement
• Scope: Production use within your organization
• Instances: As specified in your tier (Starter: 1, Professional: 10, Enterprise: unlimited)
• Renewal: Annual, with 30-day notice before expiry
• Support: As specified in your tier

3.4 Source Access

Source code access is governed by a separate Source Access Agreement, not by these terms. Source access customers have additional rights and obligations defined in that agreement.

4. Accounts and Portal

4.1 Account Creation

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your credentials
• One account per organization (additional users can be added)

4.2 Account Termination

We may suspend or terminate your account if:

• You violate these terms
• Your subscription lapses and is not renewed within 30 days
• You use the software in violation of the ELv2 license

5. Payment Terms

5.1 Pricing

• Prices are as listed on our editions page at time of purchase
• All prices are in USD unless otherwise stated
• Prices may change with 60 days notice for renewals

5.2 Payment

• Payment is due annually in advance
• Accepted methods: bank transfer or credit card
• Late payment: 30-day grace period, then account suspension

5.3 Refunds

• Evaluation licenses: free, no refund applicable
• Commercial licenses: 30-day money-back guarantee from first purchase
• Renewals: no refund after renewal date

6. Intellectual Property

6.1 Our IP

• The RelayQ software, documentation, and website content are owned by Precocity Research Ltd
• The ELv2 license grants you usage rights, not ownership
• “RelayQ” and the RelayQ logo are trademarks of Precocity Research Ltd

6.2 Your Data

• You retain ownership of all data processed by the software
• We do not access, read, or store your MQTT messages
• The software runs entirely on your infrastructure

7. Warranties and Disclaimers

7.1 Software Warranty (Commercial License)

For paying customers, we warrant that:

• The software will perform substantially as documented
• Security patches will be provided for critical vulnerabilities
• Support will be provided as specified in your tier

7.2 Evaluation Disclaimer

Evaluation software is provided “AS IS” without warranty of any kind. We are not liable for any damages arising from evaluation use.

7.3 Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the fees paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for loss of data, revenue, or business opportunity

8. Support

Support covers:

• Installation and configuration assistance
• Bug reports and troubleshooting
• Security vulnerability reports (priority handling)

Support does not cover:

• Custom development
• Third-party integration debugging
• Training (available separately)

9. Acceptable Use

You agree not to use the software to:

• Violate any applicable law or regulation
• Infringe on the rights of others
• Provide the software as a hosted service to third parties (ELv2 restriction)
• Reverse engineer the software for the purpose of building a competing product (this applies to binary-only customers; source access customers have separate terms)

10. Termination

10.1 By You

You may terminate at any time by:

• Stopping use of the software
• Deleting the software from your systems
• Cancelling your subscription (no refund for remaining period)

10.2 By Us

We may terminate your license if:

• You breach these terms and fail to cure within 30 days of notice
• You violate the ELv2 license
• You fail to pay after the 30-day grace period

10.3 Effect of Termination

Upon termination:

• Your license to use the software ends
• You must delete all copies of the software
• Your portal access is revoked
• Your data remains yours (we don’t have it — software runs on your infra)

11. Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand, unless otherwise agreed in a separate commercial agreement.

12. Changes to These Terms

We may update these terms with 30 days notice. Continued use after the notice period constitutes acceptance. Material changes will be communicated via email to registered customers.
